Terms of service

These Terms of Service ("Terms") govern your purchase and use of digital, AI-generated photo and video deliverables (each, a "Deliverable") from OpsAgents Studio at studio.opsagents.agency (the "Store"), operated by MSAPPS LTD (אם אס אפפס בע"מ), ח.פ. 516149416, Herzliya, Israel ("OpsAgents", "we", "us"). By placing an order you agree to these Terms.

1. The service

We generate AI photo Deliverables (US$6 each) and AI video Deliverables (US$30 each) from the brief you submit, and deliver them digitally. There are no physical goods and no shipping.

2. Delivery SLA

We aim to deliver each Deliverable by email plus a download link within 3 (three) business days of a completed order and a usable brief. If we cannot meet this window, we will notify you and you may cancel for a full refund.

3. License granted to you

Upon full payment and delivery, OpsAgents grants you a worldwide, non-exclusive, perpetual, commercial-use license to use, reproduce, display, modify, and distribute the delivered Deliverable for any lawful purpose, including commercial purposes (advertising, social media, products, client work). This license is non-exclusive: identical or similar outputs may be generated for other customers, and we make no claim that any Deliverable is unique.

4. Intellectual property

You receive the license in Section 3 to the delivered output file.
OpsAgents and its licensors retain all rights in the underlying AI models, model weights, software, pipelines, and tooling. Nothing here transfers any right in those underlying assets to you.
AI-generated outputs may not be eligible for copyright protection in every jurisdiction; we make no warranty as to copyrightability.
You are responsible for ensuring your brief and use of the Deliverable do not infringe third-party rights.

5. Prohibited uses

You must not request or use a Deliverable to create, and must not use the Store to generate:

Child sexual abuse material (CSAM) or any sexual content involving minors — zero tolerance, reported as required by law;
Deepfakes or impersonations of real, identifiable people without documented consent, including non-consensual intimate or misleading imagery;
Content that competes with, reverse-engineers, or attempts to extract, replicate, or train a competing model from the AI models or model providers powering the Store;
Unlawful, defamatory, harassing, hateful, or fraudulent content, or content violating our underlying model providers' acceptable-use policies.

We may refuse or cancel any order we reasonably believe violates this Section, and may report unlawful content to authorities.

6. Disclaimers

Deliverables are provided "as is" and "as available." AI generation is probabilistic; we do not warrant a Deliverable will exactly match your brief, be error-free, or be fit for a particular purpose, beyond the QC revision in the Refund Policy.

7. Limitation of liability

To the maximum extent permitted by law, OpsAgents' total aggregate liability arising out of or relating to a Deliverable or these Terms is limited to the amount you actually paid for the order giving rise to the claim. We are not liable for indirect, incidental, or consequential damages. Nothing limits liability that cannot be limited under applicable Israeli law.

8. Governing law and dispute resolution

These Terms are governed by the laws of the State of Israel. The parties will first attempt to resolve any dispute amicably via orders@opsagents.agency. Any dispute not resolved within 30 days shall be referred to and finally resolved by binding arbitration before a single arbitrator under the Israeli Arbitration Law, 5728-1968, seated in the Tel Aviv district, conducted in English or Hebrew; the arbitrator's decision is final. Nothing prevents either party from seeking injunctive relief from a competent court, and this clause does not waive any non-waivable consumer rights under the Israeli Consumer Protection Law, 5741-1981.
